1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the Twinsoft ERP mobile application available on the Apple App Store and/or Google Play Store (the “Service”), operated by Twinsoft Technologies PLC (“Twinsoft,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
The Service is a software tool designed to help gold mining organizations manage sites, members, income records, expense records, and related business information.
2. Definitions
- “Service” means the Twinsoft ERP mobile application and related features.
- “User,” “you,” or “your” means any individual or entity that accesses or uses the Service.
- “Organization” means a company or entity that creates an account on the Service and manages sites, members, and records.
- “Content” means any data, text, files, images, or other materials submitted, uploaded, or created through the Service.
- “Account” means a registered user account on the Service.
3. Eligibility
The Service is intended for use by gold mining organizations and their authorized members.
You must be legally capable of entering into a binding agreement under applicable law. The Service is not directed to children.
4. Account Registration
To use most features of the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
You are responsible for all activity that occurs under your account.
5. Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us promptly at twinsoftplc1@gmail.com if you become aware of any unauthorized use of your account.
We are not responsible for any loss or damage arising from your failure to protect your account credentials.
6. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in accordance with these Terms
- Provide accurate information when creating records or managing organizations
- Maintain the confidentiality of any access credentials issued to you
- Ensure that any Content you submit does not violate applicable law or the rights of others
7. Organization Accounts
Organizations may create accounts and invite members. The individual who creates an organization account is responsible for managing that organization’s use of the Service, including membership, roles, and data.
8. Organization Administrators
Organization administrators control membership, roles, permissions, sites, and organizational data. Administrators are responsible for ensuring that members use the Service in accordance with these Terms and applicable law.
9. Invitations and Team Membership
Organizations may invite individuals to join by email. Invitation emails contain the invitee’s email address and related details.
Sessions and invitations expire over time and are deleted. Acceptance of an invitation creates a membership relationship subject to the roles and permissions assigned by the organization.
10. Roles and Permissions
The Service allows organizations to assign roles and permissions that control what members can view or modify. Organizations are solely responsible for configuring appropriate access rights.
11. Site Management
Organizations may create and manage sites, including site names and location information. Location information is treated as user-provided data.
12. Financial and Business Records
The Service allows users to create and manage income and expense records, including customer or vendor names, amounts, descriptions, payment methods, entry dates, and supporting files or images.
Important disclaimer: Twinsoft ERP is a software tool that enables organizations to record and organize business information. The Service does not provide accounting, bookkeeping, tax, legal, investment, banking, or financial advice.
You are solely responsible for the accuracy, completeness, and legality of all records you create. You remain fully responsible for your own accounting, tax compliance, financial reporting, and any decisions made on the basis of information stored in the Service.
13. User-Generated Content
You retain ownership of the Content you submit to the Service. By submitting Content you grant Twinsoft a limited license to host, store, process, and display that Content solely as necessary to provide and operate the Service.
You represent and warrant that you have all necessary rights to submit the Content and that it does not infringe the rights of any third party or violate applicable law.
14. Uploaded Files and Images
You may upload files and images (including payment-related images) in connection with income or expense records or other features. You are solely responsible for the content of any files you upload.
We do not claim that uploaded files are publicly accessible. You must not upload unlawful, harmful, or infringing material.
15. Acceptable Use
You may use the Service only for legitimate business purposes related to the management of organizations, sites, members, and financial or business records.
16. Prohibited Activities
You must not:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service, other accounts, or systems
- Upload viruses, malware, or other harmful code
- Interfere with or disrupt the Service
- Misrepresent your identity or affiliation
- Use the Service to store or transmit content that is illegal, defamatory, or infringes the rights of others
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Use the Service in any manner that could damage, disable, or impair it
17. Intellectual Property
The Service, including its design, features, software, and branding, is owned by Twinsoft Technologies PLC or its licensors and is protected by applicable intellectual property laws.
These Terms do not grant you any ownership rights in the Service.
18. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the mobile application on devices that you own or control for your internal business purposes.
19. User Ownership of Submitted Content and Data
You (or your organization) retain all ownership rights in the Content and business data you submit. Twinsoft does not claim ownership of your organizational records, income data, expense data, or uploaded files.
20. Service Availability
We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, technical issues, circumstances beyond our control, or issues related to the Apple App Store, Google Play Store, or your device’s internet connection.
21. Maintenance and Modifications
We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to provide notice of material changes when appropriate.
Updates may be released through the Apple App Store and/or Google Play Store. You are responsible for installing updates to continue using the latest version of the application.
22. Third-Party Services
The Service relies on certain third-party services, including Google authentication services, Resend for transactional emails, and Hostinger for hosting. Your use of those services may be subject to their respective terms and privacy policies.
Your use of the application is also subject to the terms of the Apple App Store and/or Google Play Store. In case of conflict between those terms and these Terms, these Terms control your relationship with Twinsoft.
23. Email Communications
We send only authentication-related and other transactional emails necessary to operate the Service. We do not send marketing or promotional emails.
24. Security
We implement reasonable technical and organizational measures designed to protect the Service and the information it contains.
You are responsible for protecting your own account credentials and for the security of any devices you use to access the Service.
25. Account Suspension
We may suspend your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or engage in conduct that could harm the Service or other users. We may also disable or prevent further use of a specific version of the application.
26. Account Termination
You may request deletion of your account by contacting us at twinsoftplc1@gmail.com.
We may terminate or suspend your account if you materially breach these Terms or if we decide to discontinue the Service.
27. Data Deletion Following Termination
Upon account deletion or termination, we will process the deletion of your personal account data in accordance with our Privacy Policy and applicable law.
Organization-owned data remains under the control of the relevant organization and is not automatically deleted when an individual member’s account is removed.
28. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data stored in the Service will be accurate or complete.
29. Financial-Information Disclaimer
Twinsoft ERP is a record-keeping and management tool only. It does not constitute professional accounting, tax, legal, investment, or financial advice.
Any calculations, reports, or records generated by the Service are based solely on the information entered by users. You remain solely responsible for verifying accuracy and for all financial, tax, and legal decisions.
30. No Professional Advice
Nothing in the Service or these Terms constitutes professional financial, accounting, tax, legal, or other advice. You should consult qualified professionals for such advice.
31. Limitation of Liability
To the maximum extent permitted by applicable law, Twinsoft Technologies PLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us (if any) for use of the Service in the twelve (12) months preceding the claim, or 5 American Dollar (USD 5), whichever is greater.
Some jurisdictions do not allow certain limitations of liability; in such cases our liability will be limited to the maximum extent permitted by law.
32. Indemnification
You agree to indemnify and hold harmless Twinsoft Technologies PLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
33. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ethiopia, without regard to conflict-of-law principles.
The courts located in Addis Ababa, Ethiopia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory provisions of applicable law.
34. Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter amicably by contacting us at twinsoftplc1@gmail.com.
If the dispute cannot be resolved amicably, it shall be submitted to the competent courts in Addis Ababa, Ethiopia.
35. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top indicates the effective date of the current version.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes, except where additional consent is required by law.
36. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
37. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Twinsoft regarding the Service and supersede any prior agreements.
38. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
39. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
40. Force Majeure
We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, power failures, or internet outages.
